DEVELOPMENT AND SUPPORT OF THE EMPLOYEE INCENTIVE PLAN FOR AN IT- GROUP

A group of software development companies faced the need to "relocate" an incentive plan from the international to the Russian level. One of KIAP’s key goals was to provide the client with the most efficient legal form of such plan. It had to take into account the parameters of previous option agreements already familiar to the client, the complex system of corporate and contractual relationships within the group and also provide flexibility in managing the plan.

Several relevant options were prepared for the client, which took into account the goals and objectives set for us and were simultaneously effective from the tax planning point.

During the integration of the chosen option into the group operations, the KIAP team provided support in the following areas:

  • establishment of a special purpose vehicle for the management of the plan;

  • development of algorithms for management and execution of the plan;

  • preparation of internal regulations for the approval of the plan, forms of agreements and reporting documents;

  • support in corporate procedures and intragroup transactions required for the implementation of the plan.

The incentive plan was developed and implemented within the shortest possible timeframe. The project team managed to demonstrate its high expertise with sophisticated evaluation of the project’s specifics from corporate and labour law perspectives, as well as the intricacies of tax and currency legislation.
