REPRESENTING AN INVESTMENT HOLDING COMPANY FROM THE CIS REGION IN A CORPORATE CONFLICT WITH A MINORITY SHAREHOLDER OF A JOINT VENTURE

KIAP corporate team represented an investment holding company managing a number of enterprises in the CIS region in a corporate conflict with a minority shareholder of one of the joint ventures.

KIAP lawyers faced the task of protecting the client's interests during the corporate conflict, which arose due to irresolvable contradictions in the shareholders' vision of the future activities and underfunding of the partner. In the course of the project the client was offered several possible judicial (including international arbitration) and out-of-court options to resolve the corporate conflict, which best served its interests.

In the end, the option of amicable out-of-court settlement was chosen. The KIAP team supported the buy-out of the minority share and represented the client's interests during the negotiation process. For this transaction it was required to take into account an indirect ownership, as well as multidirectional and various debts of the contracting parties (commercial loans; labour/management borrowings; payment of the purchase price in installments).

Thanks to KIAP efforts, the corporate conflict was resolved on terms acceptable to the parties and did not affect the business operations of the joint venture, which is planned for further development under the client's control.
